3. Client Responsibilities
Clients are responsible for:
– Providing accurate, complete, and timely information and materials required for the execution of the project.
– Ensuring that all content (including text, images, logos, and media) provided does not infringe any copyright, trademark, or third-party rights.
– Obtaining and maintaining access credentials for any third-party accounts or platforms needed for the project.
– Backing up all their original content and data.
Failure to provide necessary materials or approvals in a timely manner may result in project delays, additional charges, or project cancellation.
4. Payments & Billing
All projects require either full payment upfront or payment according to a mutually agreed milestone-based schedule. No work will commence until initial payment has been received.
Invoices are due within the timeframe specified. Late payments may incur interest charges and could result in service suspension.
All prices quoted exclude VAT, taxes, and third-party licensing or subscription costs unless otherwise specified.
iWebhu Solutions reserves the right to withhold project deliverables until full payment has been made.
5. Intellectual Property Rights
Upon full and final payment, the client will own the final versions of the deliverables, excluding third-party tools, plugins, code, stock imagery, or licensed software.
We retain ownership of:
– Any pre-existing code, frameworks, scripts, or intellectual property used or developed in the course of the project.
– The right to display completed projects in our portfolio, website, or marketing materials.
Any third-party content used or integrated remains the property of its original creator or vendor and is governed by their respective terms of use.
6. Use of Third-Party Services, Tools & Plugins
iWebhu Solutions may use or recommend third-party tools, themes, plugins, applications, or services to fulfill project requirements. These may include hosting providers, content management systems, analytics tools, payment gateways, and others.
We are not the developers or owners of these third-party services and do not control their functionality, pricing, or availability. As such:
– We cannot guarantee the ongoing compatibility, security, or performance of any third-party tool or plugin.
– We are not liable for any data loss, bugs, vulnerabilities, service interruptions, or future costs that arise from the use of such tools.
– The client is responsible for understanding and accepting the terms of any third-party services and maintaining relevant licenses or subscriptions.
7. Confidentiality
Both parties agree to maintain confidentiality over any proprietary, technical, financial, or other sensitive information shared during the project. This obligation continues indefinitely, even after the termination of the agreement, unless disclosure is required by law or agreed in writing.
8. Refund Policy
Due to the time-intensive and custom nature of our services, all payments made are non-refundable.
However, we are committed to client satisfaction and will address concerns that fall within the agreed project scope. Refunds will not be granted for:
– Change of mind after work has started.
– Delays caused by the client.
– Requests outside the original scope of work.
9. Project Delays
iWebhu Solutions strives to deliver all projects within agreed timelines. However, we are not liable for any delays caused by:
– Late delivery of content or approvals by the client.
– Changes in project scope.
– Third-party service outages or failures.
– Force majeure events, such as power outages, pandemics, or natural disasters.
Any timeline adjustments will be communicated and agreed upon where possible.
10. Limitation of Liability
To the maximum extent permitted by law:
– iWebhu Solutions shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, or data loss.
– Our total liability under any agreement shall not exceed the amount paid by the client for the service in question.
– We make no guarantees of specific outcomes, such as increased traffic, rankings, or sales, unless explicitly stated in writing.
The client agrees to indemnify and hold harmless iWebhu Solutions, its owners, staff, and affiliates against any claims, liabilities, or damages arising from misuse, legal violations, or third-party claims related to content or functionality developed for the client.
11. Termination
Either party may terminate the agreement at any time with written notice.
In the event of termination:
– The client is responsible for payment for all completed work and any costs incurred up to the termination date.
– iWebhu Solutions may retain any deposits or advance payments already made.
– Access to work-in-progress, files, or intellectual property may be withheld until outstanding balances are settled.
We reserve the right to terminate the agreement immediately if the client engages in unethical behavior, breaches the terms, or causes undue disruption.
12. Modifications to Terms
We may revise these Terms and Conditions at any time without prior notice. The updated version will be posted on our website with the revised effective date. Continued use of our website or services after changes implies your acceptance of those changes.
13. Severability
